Terms of Service

1. Acceptance of Terms

By accessing or using Managed OpenClaw ("the Service"), operated by Oslark ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Managed OpenClaw is a hosted platform that provisions and maintains a dedicated OpenClaw instance for each subscriber. The Service includes a cloud-hosted instance, a browser-based management dashboard, access to AI models through platform-provided credits or your own provider API keys (BYOK) with direct provider connections, integration with messaging platforms, and automatic updates and health monitoring.

3. Account Registration

You must sign in with a valid Google account to use the Service. You are responsible for all activity under your account. You must not share your account credentials or allow others to access your account. You must provide accurate information during registration and keep it up to date.

4. Subscription and Billing

The Service is offered on a monthly subscription basis. Your subscription covers the infrastructure cost of your dedicated instance, including compute, storage, updates, and platform access.

AI model usage is available through platform-provided credits included with your subscription, or by using your own API keys from supported providers. When using your own keys, you pay the providers directly at their standard rates.

Payment is processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. You may cancel at any time — your service continues until the end of the current billing period.

We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Infringe on the intellectual property rights of others
  • Distribute malware, spam, or other harmful content through your agents
  • Attempt to circumvent usage limits, billing, or security measures
  • Use agents to impersonate individuals or organizations without disclosure
  • Engage in activities that disrupt or interfere with the Service or its infrastructure

We may suspend or terminate accounts that violate these terms.

6. Intellectual Property

You retain ownership of any content you create using the Service, including agent configurations, system prompts, and files stored on your instance. We retain ownership of the Service, its software, dashboard, and platform infrastructure. You are granted a non-exclusive, non-transferable license to use the Service for the duration of your subscription.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We process personal data as described in that policy. Your instance data (conversations, files, agent configurations) is stored on your private instance. We will only access your instance as necessary to provide the Service (e.g., provisioning, updates, and health monitoring) or as required by law.

8. Third-Party Services

The Service integrates with third-party AI model providers (Anthropic, OpenAI, Google, Meta, DeepSeek, Mistral, xAI) and messaging platforms. Your use of AI models is subject to the respective provider's terms and data policies. When using platform-provided credits, AI requests are proxied through our infrastructure. When using your own API keys (BYOK), your instance connects to providers directly.

9. Service Availability

We aim to provide high availability but do not guarantee uninterrupted service. The platform monitors instance health and automatically recovers unresponsive instances. Scheduled maintenance will be communicated in advance when possible. We are not liable for downtime caused by third-party providers, force majeure events, or issues outside our control.

10. Limitation of Liability

To the maximum extent permitted by law, Oslark shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claim arising from the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Termination

You may cancel your subscription at any time. Upon cancellation, your service continues until the end of the current billing period, after which your instance is decommissioned.

We may suspend or terminate your account if you violate these terms, fail to pay, or engage in abusive use. In the event of termination for cause, we will provide reasonable notice when possible. Your account data is retained after termination.

12. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of material changes via email or through the Service. Continued use after changes take effect constitutes acceptance of the updated terms.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which Oslark is registered. Any disputes arising from these terms shall be resolved in the courts of that jurisdiction.
